Implementation Of Integrity Management
Integrity Management Policy
King House’s Board of Directors has established the “Code of Integrity Management,” “Code of Ethical Conduct,” and “Internal Procedures for Handling Material Information” to regulate and prevent business activities associated with integrity risks. These measures aim to ensure ethical operations and encourage both internal and external stakeholders to report any dishonest or inappropriate behavior. The implementation of these policies is regularly reported to the Board of Directors on an annual basis to ensure the commitment to integrity management is being upheld.。
The company’s “Code of Integrity Management” prohibits dishonest conduct by its directors, managers, employees, or any individuals with substantial control over the company. It stipulates that during business activities, these individuals must not directly or indirectly offer, promise, request, or accept any improper benefits, or engage in any other dishonest behavior that violates ethical standards, laws, or fiduciary duties in order to obtain or maintain benefits. “Benefits” refer to anything of value, including money, gifts, commissions, positions, services, privileges, rebates, or any other form or type of benefit.
The company’s “Employee Work Rules” clearly stipulate that employees must not use their position to accept improper gifts, presents, invitations, or any form of donations, either directly or indirectly. Through the establishment of principles and systems, the company aims to effectively prevent the occurrence of dishonest behavior and reduce potential risks.
To ensure the practice of integrity management, in addition to regular audits by the Audit Department to monitor compliance with laws and internal policies, the company has established a grievance mechanism for both internal and external stakeholders. This provides a channel for reporting concerns, with the goal of improving operational deficiencies, ensuring service quality, and fostering positive interactions between the company and its stakeholders.
2024 Integrity Management Implementation Status
In 2024, King House Co., Ltd. (King House) underwent an organizational restructuring. In the future, the Company will assign a dedicated department to drive its integrity management objectives in accordance with relevant government regulations and internal policies. The department will provide regular reports to the Board of Directors on the implementation status of the integrity management practices.
